Acordo de Licença do Usuário Final

NOTA: ESTA VERSÃO ESTÁ SENDO FORNECIDA APENAS PARA FINS DE INFORMAÇÃO. EM CASO DE CONFLITO ENTRE ESTA VERSÃO E A VERSÃO EM INGLÊS DO ACORDO, A VERSÃO EM INGLÊS PREVALECERÁ.

Este Acordo de Licença do Usuário Final (a "Licença" ou o “Acordo”) é firmado entre a Uniblue Systems Ltd (C32567), empresa de responsabilidade limitada, com registro em Malta e tendo seu endereço registrado em Orange Point, Dun Karm Street, B’Kara By-Pass, Birkirkara BKR9037, Malta, Europa (doravante "Uniblue”) e o usuário final ("Você").

1. Consentimento

Ao instalar o Software da Uniblue e marcar a caixa de seleção "Aceito os termos do Acordo de Licença", considera-se que você respeite e torne-se parte desta Licença, bem como consinta com isso, e que você indica que tem autoridade para firmar este Acordo.

Se você não concordar em respeitar todos os termos deste Acordo, clique no botão "Cancelar" e não instale o Software da Uniblue. Se Você comprou uma licença do Software da Uniblue em mídias tangíveis ou intangíveis, sem a oportunidade de ler esta Licença, e se Você não aceita este Acordo, Você poderá obter um reembolso do valor por Você pago se Você (i) não usar o Software da Uniblue e (ii) devolvê-lo para o fornecedor do qual foi adquirido, ou para a Uniblue, juntamente com o recibo de pagamento no período de trinta (30) dias a partir da data de compra. A Uniblue não tem a obrigação de fazer ou realizar o reembolso se o fornecedor não tiver autorização da Uniblue para vender ou revender essa Licença ou para distribuir o Software da Uniblue. Para fins deste Acordo, "Software da Uniblue" significa o software que exibe esta Licença, qualquer atualização nele realizada durante a Vigência do acordo, a Documentação e quaisquer Cópias que você tiver permissão para fazer segundo este Acordo, excluindo-se Softwares de Terceiros.

A Uniblue recomenda que Você mantenha uma cópia deste Acordo de Licença para sua referência.

2. Concessão da Licença

Sujeito aos termos e condições desta Licença, e sujeito ao pagamento das taxas aplicáveis (“Taxa de Licença”), a Uniblue lhe concede uma licença pessoal, limitada, não exclusiva, não transferível, não sublicenciável e revogável para instalar, durante a Vigência e unicamente para seu próprio uso privado, três (3) Cópias do Software da Uniblue e os materiais por escrito relacionados em texto impresso ou em versão legível em máquina (a “Documentação”). Fica proibida qualquer utilização de mais cópias do Software da Uniblue além daquelas licenciadas. A licença do Software da Uniblue não poderá ser compartilhada pelo uso alternado do Software da Uniblue entre computadores diferentes. Após a expiração da Vigência, Você poderá manter uma cópia do Software da Uniblue segundo os termos da última Licença que você aceitou. Essas limitações aplicam-se mesmo que você receba o Software da Uniblue em várias médias (por exemplo, download eletrônico e CD). Para fins deste Acordo, "Cópia" incluirá a instalação original do Software da Uniblue. Você não deverá permitir e deverá impedir que outras pessoas façam ou obtenham cópias do Software da Uniblue.

3. Restrições da Licença

A menos que especificamente permitido nos termos deste Acordo, Você não poderá (i) copiar, reproduzir, alterar, modificar, criar um trabalho dele derivado, reverter a compilação ou praticar engenharia reversa, desmontar, descompilar ou de outra forma extrair o código-fonte ou os dados internos do Software da Uniblue ou qualquer parte dele; (ii) remover ou de qualquer forma ocultar os avisos de propriedade ou marca comercial do Software da Uniblue; (iii) sublicenciar, vender, alugar, realizar leasing, transferir, atribuir, exibir, hospedar, terceirizar, divulgar, distribuir ou de outra forma explorar comercialmente o Software da Uniblue; (iv) burlar qualquer número de série ou qualquer outro mecanismo usado ou implantado pela Uniblue para proteger o Software da Uniblue contra o uso, cópia ou distribuição não licenciado; (v) postar ou de outra forma disponibilizar o Software da Uniblue ou qualquer parte dele, incluindo o número de série, na Internet ou qualquer outro fórum publicamente disponível; (vi) exportar ou reexportar o Software da Uniblue ou quaisquer informações ou tecnologias subjacentes em violação das leis de exportação dos Estados Unidos, da Comunidade Europeia ou quaisquer outras leis ou normas aplicáveis; ou (vii) fazer qualquer uso desse Software da Uniblue de qualquer forma que viole as leis aplicáveis.

4. Cópias e Redes Licenciadas

Ficam proibidos qualquer armazenamento, manutenção ou uso simultâneos do Software da Uniblue. Você concorda em implementar mecanismos de segurança de acesso para impedir o uso simultâneo ou pagar uma taxa adicional de acordo com o número de usuários com acesso a uma rede que permita o uso do Software da Uniblue por múltiplos computadores simultaneamente.

5. Upgrades e Atualizações de Conteúdo

A Uniblue poderá lhe fornecer Upgrades e/ou Atualizações de Conteúdo de tempos em tempos, sem taxas, durante a Vigência deste Acordo. Para fins deste Acordo, “Upgrade” significa uma nova versão do Software da Uniblue contendo modificações técnicas, informações atualizadas, funcionalidade alterada ou quaisquer outras alterações pretendidas pela Uniblue para melhorar ou para acrescentar a, excluir ou de outra forma modificar qualquer aspecto do Software da Uniblue; e “Atualização de Conteúdo” significa uma atualização do conteúdo usado pelo Software da Uniblue que talvez precise ser atualizado de tempos em tempos. Os Upgrades e/ou as Atualizações de Conteúdo podem ser fornecidos pela Uniblue através dos serviços on-line. Essa Licença não permite que Você obtenha e utilize os Upgrades e/ou as Atualizações de Conteúdo de outra forma.

Observação: o Software da Uniblue pode exigir Atualizações de Conteúdo para que funcione adequadamente.

6. Cópia de Avaliação

Você poderá receber uma cópia de avaliação do Software da Uniblue gratuitamente (a “Cópia de Avaliação”). Certos recursos e/ou funcionalidades do Software da Uniblue poderão estar bloqueados ou indisponíveis na Cópia de Avaliação. Para se beneficiar de todos os recursos e funcionalidades do Software da Uniblue, Você deverá pagar a Taxa de Licença e inserir um número de série válido. Quando essas ações forem realizadas, a Cópia de Avaliação não será mais considerada Cópia de Avaliação, e todos os termos deste Acordo começarão a ser aplicados integralmente. As cláusulas 3, 9, 10, 11, 12, 13, 14, 15, 19 e 20 serão igualmente aplicadas a uma Cópia de Avaliação.

7. Ativação e Outras Medidas Tecnológicas

Ao comprar uma licença, Você receberá um número de série. Você deverá ativar o Software da Uniblue inserindo o número de série quando o software o solicitar. Poderá haver outras medidas tecnológicas, incluindo tecnologia de execução, no Software da Uniblue que foram projetadas para impedir o uso ilegal ou não licenciado. Você concorda que a Uniblue poderá usar essas medidas da forma como julgar adequada.

8. Proteção da Propriedade Intelectual

O Software da Uniblue está protegido por direitos autorais, bem como outras leis de propriedade intelectual nacionais ou segundo as disposições de tratados internacionais. Não obstante qualquer outra coisa, o Software da Uniblue é licenciado e não é vendido. Este Acordo de Licença não lhe concede direitos de propriedade intelectual no Software da Uniblue ou em qualquer Software de Terceiros, e não lhe concede licenças, direitos ou interesses em qualquer marca comercial, nome comercial ou marca de serviço da Uniblue ou de qualquer outra parte. A Uniblue possui e retém todos os direitos, títulos e interesses no e para o Software da Uniblue, todas as Cópias ou partes do Software da Uniblue, e quaisquer trabalhos dele derivados.

9. Garantia Limitada

O Software da Uniblue é fornecido a Você segundo esta Licença em uma base "como está", sem garantia ou representação de qualquer tipo. O Software da Uniblue é fornecido como sofware de finalidade geral e não para seu uso particular. Você aceita que a Uniblue e seus fornecedores não indicam nem garantem que o Software da Uniblue vai atender às suas exigências ou esteja livre de erros ou defeitos, ou que quaisquer defeitos na operação ou na funcionalidade do Software da Uniblue serão corrigidos. Além disso, a Uniblue isenta-se de todas as garantias e condições de qualquer tipo, expressas ou implícitas, incluindo, sem limitação, as garantias implícitas de comerciabilidade, adequação a uma finalidade em particular e não violação de direitos de propriedade intelectual. Quaisquer garantias implícitas que não possam ser excluídas têm limitação de trinta (30) dias ou o período mais curto permitido por lei, o que for maior. O uso que Você fizer do Software da Uniblue é por sua própria conta e risco, e Você é responsável por quaisquer decisões tomadas e ações realizadas com base no Software da Uniblue, independentemente de quaisquer recomendações indicadas por esse Software. A Uniblue não faz considerações em relação a Softwares de Terceiros, que poderão ser acessados através do Software da Uniblue, ou nele incluídos.

10. Limitação de Responsabilidade

ATÉ O MÁXIMO PERMITIDO PELA LEI, SOB NENHUMA CIRCUNSTÂNCIA E SEGUNDO NENHUMA TEORIA/INSTITUTO JURÍDICO, SEJA EM PREJUÍZO, SEJA EM CONTRATO OU DE OUTRA FORMA, A UNIBLUE OU SEUS FORNECEDORES SERÃO RESPONSÁVEIS JUNTO A VOCÊ OU QUALQUER BENEFICIÁRIO DE TERCEIROS POR QUALQUER DANO DIRETO, INDIRETOR, ESPECIAL, INCIDENTAL, EXEMPLAR, PUNITIVO OU CONSEQUENTE (INCLUINDO, SEM LIMITAÇÃO, QUALQUER DANO POR PERDA DE NEGÓCIOS, PERDA DE LUCRATIVIDADE, PERDA DE DADOS, PERDA DE PRIVACIDADE, PERDA DE INFORMAÇÕES CONFIDENCIAIS OU OUTRAS INFORMAÇÕES, FALHA OU MAU FUNCIONAMENTO DE COMPUTADOR E POR QUALQUER OUTRA PERDA PECUNIÁRIA OU OUTRA PERDA QUALQUER) PROVENIENTE DE, OU DE ALGUMA FORMA RELACIONADA COM O USO OU A INCAPACIDADE DE USAR O SOFTWARE DA UNIBLUE, A DISPOSIÇÃO DE OU A FALHA DE PRESTAR SERVIÇOS DE SUPORTE, OU DE OUTRA FORMA EM CONEXÃO COM QUALQUER ASPECTO DESTE SOFTWARE, MESMO EM CASO DE FALHA, PREJUÍZO (INCLUINDO NEGLIGÊNCIA), ESTRITA RESPONSABILIDADE, VIOLAÇÃO DE CONTRATO OU VIOLAÇÃO DE GARANTIA, E MESMO QUE A UNIBLUE OU SEUS FORNECEDORES TENHAM SIDO AVISADOS DA POSSIBILIDADE DESSES DANOS.

SOB NENHUMA POSSIBILIDADE A RESPONSABILIDADE TOTAL DA UNIBLUE OU DE SEUS FORNECEDORES, SEJA EM PREJUÍZO, CONTRATO OU DE OUTRA FORMA, ULTRAPASSARÁ O VALOR REALMENTE PAGO POR VOCÊ PELO SOFTWARE DA UNIBLUE (“TAXA DE LICENÇA”). VOCÊ RECONHECE QUE A TAXA DE LICENÇA REFLETE ESSA ALOCAÇÃO DE RISCO E QUE A LIMITAÇÃO ESTABELECIDA NESTA SEÇÃO É UM ELEMENTO ESSENCIAL DO ACORDO ENTRE AS PARTES.

Algumas jurisdições não permitem a exclusão ou limitação de responsabilidade, por isso as limitações acima podem não se aplicar a Você.

11. Indenização

Você vai indenizar e isentará de responsabilidade a Uniblue por todos e quaisquer solicitações, perdas, responsabilidades, danos, multas, penalizações, custos e despesas (incluindo honorários de advogados) provenientes de ou relacionados com o uso que Você fizer do Software da Uniblue. Suas obrigações segundo essa seção deverão sobreviver a expiração ou a rescisão deste Acordo.

12. Privacidade

Você concorda que a Uniblue poderá coletar e usar informações transmitidas através do Software da Uniblue para melhorar seus produtos e serviços. Quaisquer informações pessoais pertencentes a Você, que poderão ser mantidas pela Uniblue (por exemplo, após o suporte aos serviços prestados a Você) poderão ser processadas de acordo com a Política de Privacidade da Uniblue, na medida em que existirem a qualquer momento relevante. Você poderá acessar nossa Política de Privacidade a qualquer momento no endereço .

13. Softwares de Terceiros

Outros softwares de terceiros podem ser distribuídos juntamente com o Software da Uniblue (o “Software de Terceiros”). Todos e quaisquer Softwares de Terceiros podem exigir avisos e/ou estar sujeitos a diferentes termos de licença. Esses avisos e termos de licença necessários do Software de Terceiros, se houver, poderão ser acessados pelo arquivo intitulado “Termos de Terceiros” localizado no diretório de aplicativo do Software da Uniblue ou através do Software de Terceiro. Aceitando este Acordo de Licença, Você também está aceitando os termos da licença, se houver, segundo os quais o Software de Terceiro foi disponibilizado. Você não entrará em uma relação contratual com a Uniblue referente a este Software de Terceiro, e a Uniblue não aceita responsabilidade pelo uso que Você fizer dele.

14. Vigência e Rescisão

A Vigência desta Licença é pelo período de um ano a partir da data de compra, exceto com relação a uma Cópia de Avaliação para a qual a vigência padrão será o tempo que a Uniblue disponibilizar essa Cópia de Avaliação a Você. No final da Vigência, Você concorda em desinstalar e destruir ou ceder permanentemente todas, com exceção de uma cópia do Software da Uniblue no período de quinze (15) de rescisão ou expiração. Após a expiração da Vigência, alguns recursos e funcionalidades do Software da Uniblue podem parar de funcionar, ou o Software da Uniblue pode parar de funcionar inteiramente.

Não obstante o supracitado, a Licença perderá automaticamente a validade se Você não respeitar todos os seus termos, mas durante e após a Vigência da Licença, sem prejuízo aos direitos da Uniblue de compensação pelos danos em termos da lei aplicável. Imediatamente mediante essa rescisão, qualquer licença concedida segundo este documento perderá a validade, e Você deverá devolver imediatamente à Uniblue ou destruir todas as Cópias do Software da Uniblue em sua posse.

Os termos deste Acordo que se destinam a sobreviver à expiração ou à rescisão deverão permanecer vigentes.

15. Suporte

A Uniblue poderá fornecer a Você serviços de suporte relacionados ao Software da Uniblue. Qualquer obrigação que a Uniblue poderá ter para suportar a versão anterior do Software da Uniblue se encerra mediante a expiração da Vigência ou da rescisão da Licença, o que vier antes. O suporte poderá não estar disponível no idioma em que o Software da Uniblue foi adquirido.

16. Modificações

Se forem concedidos Upgrades, esses Upgrades deverão ser acompanhados por esta ou por uma nova Licença. Essa concessão não deverá estender a Vigência da Licença concedida segundo este documento. Se o Upgrade vier acompanhado por uma nova Licença, e Você não aceitar os termos dessa nova Licença, Você deverá notificar a Uniblue no período de trinta (30) dias dessa concessão. Se você realmente notificar a Uniblue, seu contrato com a Uniblue continuará sendo regido por esta ou pela última licença que você aceitou, até o final da Vigência. Após a expiração da Vigência, se você renovar sua licença do Software da Uniblue ou você continuar pagando sua taxa de Licença, considerar-se-á que você aceitou a nova licença.

17. Disposições Gerais

Quaisquer direitos não expressamente concedidos segundo este Acordo de Licença estão sendo reservados. Esta Licença é o acordo inteiro entre Você e a Uniblue com relação a este assunto e substitui todos e quaisquer acordos, representações e negociações verbais ou por escrito, prévios ou atuais, bem como quaisquer termos adicionais ou outra comunicação semelhante entre as partes. Caso se constate que qualquer parte deste Acordo de Licença seja nula, inválida ou sem força executória, essa parte será considerada contaminada e não afetará a validade das outras disposições da Licença. A falha, de qualquer parte, na aplicação de qualquer disposição desta Licença não será considerada uma renúncia a aplicações futuras semelhantes ou de qualquer outra disposição.

18. Escolha da Lei

Este Acordo de Licença será regido por e formulado segundo as Leis de Malta, na Europa, excluindo qualquer conflito de regras ou leis. Todas as disputas provenientes de ou que tiverem relação com este Acordo serão enviadas para a jurisdição exclusiva dos Tribunais de Malta. A Uniblue reserva-se o direito, como sua opção, de buscar qualquer litígio proveniente do uso que Você fizer do Software da Uniblue nos Tribunais de seu país.

End User License Agreement

This End-User License Agreement (the "License" or “Agreement”) is between Uniblue Systems Ltd (C32567), a limited liability company registered in Malta and having its registered address at Orange Point, Dun Karm Street, B’Kara By-Pass, Birkirkara BKR9037, Malta, Europe (hereinafter “Uniblue”) and the end user ("You").

1. Consent

By installing the Uniblue Software and by marking the “I accept the terms of the License Agreement” checkbox, you are deemed to and do consent to be bound by and become a party to this License and you represent that you have the authority to enter into this Agreement.

If you do not agree to be bound by all of the terms of this Agreement click the ‘Cancel’ button and do not install the Uniblue Software. If You purchased a license to the Uniblue Software on tangible or intangible media without the opportunity to review this License and You do not accept this Agreement, You may obtain a refund of the amount You originally paid if You (i) do not use the Uniblue Software and (ii) return it to the vendor from which it was acquired, or to Uniblue, together with proof of payment within thirty (30) days from the date of purchase. Uniblue has no obligation to make or cause a refund if the vendor is not authorized by Uniblue to sell or resell this License or to distribute the Uniblue Software. For the purposes of this Agreement, “Uniblue Software” shall mean the software displaying this License, any Upgrade thereof granted during the Term, Documentation and any Copies you are permitted to make under this Agreement, excluding Third Party Software.

Uniblue recommends that You keep a copy of this License Agreement for your records.

2. Grant of the License

Subject to the terms and conditions of this License, and subject to payment of applicable fees (“License Fee”), Uniblue grants You a limited, personal, non-exclusive, non-transferable, non-sub-licensable and revocable license to install during the Term and solely for your own private use, three (3) Copies of the Uniblue Software and related written materials in either printed text or machine readable version (the “Documentation”). Any use of more copies of the Uniblue Software than are licensed is prohibited. The license for the Uniblue Software may not be shared by alternating use of the Uniblue Software between different computers. Following expiry of the Term, You may keep one copy of the Uniblue Software under the terms of the last License that you accepted. These limitations apply even if you receive the Uniblue Software on multiple media (e.g. electronic download and CD). For the purposes of this Agreement, “Copy” shall include the original installation of the Uniblue Software. You shall not allow and shall prevent others from making or obtaining copies of the Uniblue Software.

3. License Restrictions

Unless specifically permitted in terms of this Agreement, You may not (i) copy, reproduce, change, modify, create a derivative work thereof, reverse compile or reverse engineer, disassemble, decompile or otherwise attempt to extract the source code or internal data of the Uniblue Software or any part thereof; (ii) remove or in any way obscure any ownership or trademark notices on the Uniblue Software; (iii) sublicense, sell, rent, lease, transfer, assign, display, host, outsource, disclose, distribute or otherwise commercially exploit the Uniblue Software; (iv) circumvent any serial number or any other mechanism used or deployed by Uniblue to protect the Uniblue Software against unlicensed use, copying or distribution; (v) post or otherwise make available, the Uniblue Software or any portion thereof, including the serial number, on the Internet or other publicly available forum; (vi) export or re-export the Uniblue Software or any underlying information or technology in violation of the export laws of the United States, the European Community or any other applicable laws or regulations; or (vii) make any use of such Uniblue Software in any way that violates any applicable law.

4. Licensed Copies and Networks

Any simultaneous storage, maintenance, or use of the Uniblue Software is prohibited. You agree either to implement access security mechanisms to prevent simultaneous use or to pay an additional fee according to the number of users with access to a network enabling use of the Uniblue Software by multiple computers simultaneously.

5. Upgrades and Content Updates

Uniblue may provide You with Upgrades and/or Content Updates from time to time at no charge during the Term of this Agreement. For the purposes hereof, “Upgrade” means a new version of the Uniblue Software containing technical modifications, updated information, altered functionality, or any other changes that are intended by Uniblue to improve or to add to, delete or otherwise modify any aspect of the Uniblue Software; and “Content Update” means an update of the content used by the Uniblue Software that might need to be updated from time to time. Upgrades and/or Content Updates may be provided by Uniblue via on-line services. This License does not otherwise permit You to obtain and use Upgrades and/or Content Updates.

Note: The Uniblue Software may require Content Updates in order to work effectively.

6. Evaluation Copy

You may be granted an evaluation copy of the Uniblue Software free of charge (the “Evaluation Copy”). Certain features and/or functionality of the Uniblue Software may be locked or unavailable in the Evaluation Copy. In order to benefit from all features and functionality of the Uniblue Software, You must pay the License Fee and input a valid serial number. Upon such actions being taken, the Evaluation Copy shall cease from being considered an Evaluation Copy and all the terms of this Agreement shall commence to apply in their entirety. Clauses 3, 9, 10, 11, 12, 13, 14, 15, 19 and 20 shall apply equally to an Evaluation Copy.

7. Activation and other Technological Measures

When You purchase a license You will be provided with a serial number. You must activate the Uniblue Software by entering the serial number as prompted by such Software. There may be other technological measures, including enforcement technology, in the Uniblue Software that are designed to prevent unlicensed or illegal use. You agree that Uniblue may use these measures in its reasonable discretion.

8. Intellectual Property Protection

The Uniblue Software is protected by copyright, as well as other intellectual property laws both nationally and under international treaty provisions. Notwithstanding anything else, the Uniblue Software is licensed and not sold. This License Agreement does not give You any intellectual property rights in the Uniblue Software or any Third Party Software, and does not grant You any license, right or interest in any trade mark, trade name or service mark of Uniblue or any other third party. Uniblue owns and retains all right, title and interest in and to the Uniblue Software, all Copies or portions of the Uniblue Software, and any derivative works thereof.

9. Limited Warranty

The Uniblue Software is provided to You under this License on an “as is” basis, without warranty or representation of any kind. The Uniblue Software is provided as general purpose software and not for your particular use. You accept that Uniblue and its suppliers do not represent or warrant that the Uniblue Software will meet your requirements or be error or defect free or that any defects in the operation or functionality of the Uniblue Software will be corrected. Uniblue further expressly disclaims all warranties and conditions of any kind, whether express or implied, including, but not limited to, the implied warranties of merchantability, fitness for a particular purpose and non-infringement of intellectual property rights. Any implied warranties that cannot be excluded are limited to thirty (30) days or to the shortest period permitted by applicable law, whichever is the greater. Your use of the Uniblue Software is at your sole risk and You are responsible for any decisions made and actions taken based on the Uniblue Software, irrespective of any recommendations proferred by such Software. Uniblue makes no representation regarding Third Party Software which may be accessed through or included with the Uniblue Software.

10. Limitation of Liability.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, UNDER NO CIRCUMSTANCE AND UNDER NO LEGAL THEORY/INSTITUTE, WHETHER IN TORT, CONTRACT OR OTHERWISE, WILL UNIBLUE OR ITS SUPPLIERS, BE LIABLE TO YOU OR ANY THIRD PARTY BENEFICIARY FOR ANY DIRECT, INDIRECT, SPECIAL, INCIDENTAL, EXEMPLARY, PUNITIVE OR CONSEQUENTIAL DAMAGES (INCLUDING BUT NOT LIMITED TO ANY DAMAGE FOR LOSS OF BUSINESS, LOSS OF PROFITS, LOSS OF DATA, LOSS OF PRIVACY, LOSS OF CONFIDENTIAL OR OTHER INFORMATION, COMPUTER FAILURE OR MALFUNCTION AND FOR ANY OTHER PECUNIARY OR OTHER LOSS WHATSOEVER) ARISING OUT OF, OR IN ANY WAY RELATED TO, THE USE OR THE INABILITY TO USE THE UNIBLUE SOFTWARE, THE PROVISION OF OR FAILURE TO PROVIDE SUPPORT SERVICES, OR OTHERWISE IN CONNECTION WITH ANY ASPECT OF THIS SOFTWARE, EVEN IN THE EVENT OF THE FAULT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, BREACH OF CONTRACT OR BREACH OF WARRANTY, AND EVEN IF UNIBLUE OR ITS SUPPLIERS HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT WILL THE TOTAL LIABILITY OF UNIBLUE OR ITS SUPPLIERS WHETHER IN TORT, CONTRACT OR OTHERWISE, EXCEED THE AMOUNT ACTUALLY PAID BY YOU FOR THE UNIBLUE SOFTWARE (“LICENSE FEE”). YOU ACKNOWLEDGE THAT THE LICENSE FEE REFLECTS THIS ALLOCATION OF RISK AND THAT THE LIMITATION SET FORTH IN THIS SECTION IS AN ESSENTIAL ELEMENT OF THE AGREEMENT BETWEEN THE PARTIES.

Some jurisdictions do not allow the exclusion or limitation of liability, so the above limitations might not apply to You.

11. Indemnity

You will indemnify and hold Uniblue harmless from any and all claims, losses, liabilities, damages, fines, penalties, costs and expenses (including attorney’s fees) arising from or relating to your use of the Uniblue Software. Your obligations under this section shall survive the expiration or termination of this Agreement.

12. Privacy

You agree that Uniblue may collect and use information transmitted through the Uniblue Software to improve its products and services. Any personal information pertaining to You, which may be held by Uniblue (e.g. further to support services provided to You) shall be processed in accordance with the Uniblue Privacy Policy, as it exists at any relevant time. You may access our Privacy Policy at any time at .

13. Third Party Software

Other third party software may be distributed together with the Uniblue Software (the “Third Party Software”). Any and all such Third Party Software may require notices and/or be subject to different license terms. Such required Third Party Software notices and license terms, if any, may be accessed in the folder titled “Third Party Terms” located in the application directory of the Uniblue Software, or through the Third Party Software itself. By accepting this License Agreement, You are also accepting the license terms, if any, under which the Third Party Software is made available. You will not enter into a contractual relationship with Uniblue regarding such Third Party Software and Uniblue accepts no responsibility for Your use of same.

14. Term and Termination

The Term of this License is for a period of one year from the date of purchase except with regards to an Evaluation Copy for which the default term shall be for so long as Uniblue makes such Evaluation Copy available to You. At the end of the Term, You agree to de-install and destroy or permanently erase all but one copy of the Uniblue Software within fifteen (15) days of termination or expiration. Following expiry of the Term, some features and functionality of the Uniblue Software may cease to function or the Uniblue Software may cease to function altogether.

Notwithstanding the above, the License shall automatically terminate if You fail to comply with any of its terms, both during and following the Term of the License, without prejudice to the rights of Uniblue to compensation for damages in terms of the applicable law. Immediately upon such termination, any license granted hereunder shall terminate and You shall immediately return to Uniblue or destroy all Copies of the Uniblue Software in Your possession.

The terms of this Agreement which are intended to survive expiration or termination shall remain in effect.
15. Support

Uniblue may provide You with support services related to the Uniblue Software. Any obligation Uniblue may have to support the previous version of the Uniblue Software ends upon the expiration of the Term or the termination of the License, whichever is the earlier. Support may not be available in the language in which the Uniblue Software was acquired.

16. Modifications

If Upgrades are granted, such Upgrades shall be accompanied by this or a new License. Such grant shall not extend the Term of the License granted hereunder. If the Upgrade is accompanied by a new License, and You do not accept the terms of such new License, You must notify Uniblue within thirty (30) days of such grant. If you do so notify Uniblue, your agreement with Uniblue shall continue to be governed by this or the last License that you accepted, until the end of the Term. Following expiry of the Term, if you renew your license of the Uniblue Software or you continue to pay your License Fee, you will be deemed to have accepted the new license.

17. General Provisions

Any rights not expressly granted under this License Agreement are being reserved. This License is the entire agreement between You and Uniblue with respect to this subject matter and supersedes any and all prior or contemporaneous oral or written agreements, representations, negotiations, any additional terms or other similar communication between the parties. If any part of this License Agreement is found to be void, unenforceable or invalid, that part will be deemed stricken and will not affect the validity of the other License provisions. Failure by either party to enforce any provision of this License will not be deemed a waiver of future enforcement of that or any other provision.

18. Choice of Law

This License Agreement will be governed by and construed under the Laws of Malta, Europe excluding any conflict of rules of law. All disputes arising out of or in relation to this Agreement shall be submitted to the exclusive jurisdiction of the Courts of Malta. Uniblue retains the right, at its option, to pursue any litigation arising from your use of the Uniblue Software in your national Courts.
